Terms of Business
We have developed this Terms of Business to outline the responsibilities of both Pave and yourself during your Pave internship in India. It is essential that you have agreed and signed your Terms of Business in order for Pave to deliver your high quality internship program.
1.1 When the following words with capital letters are used in these Terms, this is what they will mean:
Confirmation: Our written acceptance to Your Request under clause 2.4;
Deposit: the deposit paid by You as part of the overall Fee for the Program;
Fee: the cost payable by You for Us delivering the Program;
Event Outside Our Control: is defined in clause 10.1;
Program / Internship: the program for an Internship We create for You based on the Program Schedule;
Program Schedule: the services We provide as described on this document and on Our website;
Request: Your request for Us to provide You with a Program;
Start Date: the first day of the Program;
Terms: the terms and conditions set out in this document;
We/Our/Us/Pave: Pave Limited (company no.08545862 of Kemp House, 152 City Road, London EC1V 2NX); and
You/Your: apply to all applicants and participants on an Internship with Us.
1.2 When We use the words “writing” or “written” in these Terms, this will include e-mail unless We say otherwise.
2. Our contract with you
2.1 These are the terms and conditions on which Pave will provide You with a Program suited to Your specific requirements.
2.2 Please ensure that You read these Terms carefully, and check that the details on Your Request and in these Terms are complete and accurate, before You sign and submit Your Request. If You think that there is a mistake or require any changes, please contact Us to discuss. We will confirm any changes in writing to avoid any confusion between You and Us.
2.3 When You sign and submit Your Request to Us, this does not mean We have accepted Your order. Our acceptance of the Request will take place as described in clause 2.4. If We are unable to provide You with the Internship set out in Your Request We will inform You of this in writing. Please also note We reserve the right in Our absolute discretion to decline any Request submitted to Us.
2.4 These Terms will become binding on You and Us when We receive payment of the Deposit and We confirm Our acceptance of Your Request in writing, at which point a contract will come into existence between You and Us.
2.5 If any of these Terms conflict with any term of Our Confirmation, the Confirmation will take priority.
2.6 We shall assign an order number to the Program and inform You of it. Please quote the order number in all subsequent correspondence with Us relating to the Program.
3. Changes to terms
3.1 We may revise these Terms from time to time to allow changes in how We accept payment from You; changes in relevant laws and regulatory requirements; and where We are required to do so because of an Event Outside Our Control.
3.2 If We have to revise these Terms under clause 3.1, We will give You at least one month’s written notice of any changes to these Terms before they take effect.
4. Change requests
4.1 You may make a change to Your Request at any time before the Start Date by contacting Us. Where this means a change in the Fee for the Program, We will notify You of the amended Fee in writing. You may then choose whether You wish to make the change to Your Request.
4.2 You may request a change to the details of the Program at any time after the Start Date by contacting Us. Where this means a change in the Fee for the Program, We will notify You of the amended Fee in writing. You may then choose whether You wish to make the requested change to the Program.
5.1 We will make every effort to deliver the Program in the time frame and in the manner agreed between Us. However, there may be delays due to an Event Outside Our Control.
5.2 We will need certain information from You that is necessary for Us to deliver the Program. We will contact You in writing about this. If You do not, after being asked by Us, provide Us with this information, or You provide Us with incomplete or incorrect information, We may make an additional charge of a reasonable sum to cover any extra work that is required, or We may suspend the delivery of the Program by giving You written notice. We will not be liable for any delay or non-performance where You have not provided this information to Us after We have asked.
5.3 If You do not pay Us for the Program when You are supposed to as set out in clause 7, We may suspend the Program with immediate effect until You have paid Us the outstanding amounts (except where You dispute an invoice). We will contact You to tell You this. This does not affect Our right to charge You interest.
5.4 We do not accept any liability whatsoever in circumstances where Your actions or omissions (particularly in providing and validating the information required from You for Us to perform any element of the Program) result in a delay to or an inability for Us to perform any part of the Program.
6. If there is a problem with the program
6.1 In the unlikely event that there are any problems with the delivery of the Program please contact Us and tell Us as soon as reasonably possible so as to give Us a reasonable opportunity to resolve the issue.
7. Price and payment
7.1 The Fee for the Program will be set out in Our Confirmation to You. Our prices may change at any time, but price changes will not affect those We have already confirmed with You. These prices include VAT. However, if the rate of VAT changes between the date of the Request and the date of delivery or performance, We will adjust the rate of VAT that You pay, unless You have already made payment in full before the change in the rate of VAT takes effect.
7.2 We will ask You to pay the Deposit prior to Our Confirmation. Your rights to a refund on cancellation are set out in clause 11 and clause 12.
7.3 We will invoice You for the balance of the Fee which shall be payable thirty days after Confirmation or eight weeks before the start date, which ever is the earlier. You must pay each invoice in cleared monies immediately following the date of invoice.
7.4 If You do not make any payment due to Us by the due date for payment, We may charge interest to You on the overdue amount at the rate of 3% a year above the base lending rate of National Westminster Bank from time to time. This interest shall accrue on a daily basis from the due date until the date of actual payment of the overdue amount, whether before or after judgment. You must pay Us interest together with any overdue amount.
7.5 However, if You dispute an invoice in good faith and contact Us to let Us know promptly after You have received an invoice that You dispute it, clause 7.4 will not apply for the period of the dispute.
8. Our liability to you
8.1 If We fail to comply with these Terms, We are responsible for loss or damage You suffer that is a foreseeable result of Our breach of the Terms or Our negligence, but We are not responsible for any loss or damage that is not foreseeable. Loss or damage is foreseeable if they were an obvious consequence of Our breach or if they were contemplated by You and Us at the time We entered into this contract.
8.2 We do not exclude or limit in any way Our liability for death or personal injury caused by Our negligence or the negligence of Our employees, agents or subcontractors; for fraud or fraudulent misrepresentation or for breach of the terms implied by the Sale of Goods Act 1979 and the Supply of Goods and Services Act 1982.
9. your responsibilities
9.1 You acknowledge, accept and agree to comply with Our requirements and Your obligations with regard to the application and handling of visas as described in Schedule 2.
9.2 You acknowledge accept and agree to comply with Our terms and Our handling of travel arrangements as described in Schedule 2.
9.3 You agree to abide by the rules of behaviour during the Program as set out in Schedule 2.
10. Events Outside Our Control
10.1 We will not be liable or responsible for any failure to perform, or delay in performance of, any of Our obligations under these Terms that is caused by an Event Outside Our Control. An Event Outside Our Control means any act or event beyond Our reasonable control.
10.2 If an Event Outside Our Control takes place that affects the performance of Our obligations under these Terms We will contact You as soon as reasonably possible to notify You and Our obligations under these Terms will be suspended and the time for performance of Our obligations will be extended for the duration of the Event Outside Our Control.
10.3 You may cancel the contract if an Event Outside Our Control takes place and You no longer wish Us to provide the Program. Please see Your cancellation rights under clause 11. We will only cancel the contract if the Event Outside Our Control continues for longer than four weeks in accordance with Our cancellation rights in clause 12.
11. Your rights to cancel and applicable refund
11.1 You may cancel the Program at any time prior to eight weeks before the Start Date. We will confirm Your cancellation in writing to You. Any payment made other than the Deposit will be refunded to You.
11.2 If the Program is cancelled because of visa issues which We did not notify You of You may cancel the Program and any payments made including the Deposit will be refunded to You.
11.3 You may cancel the Program in the eight week period prior to the Start Date. We will confirm Your cancellation in writing to You. The amount paid less the Deposit and 50% of the remainder of the Fee paid shall be refunded to You.
11.4 If You are unable to commit to the Program because of issues to do with Your visa as detailed in Schedule 2 You hereby accept the refund policy stated therein.
11.5 Once the Program has started, You may cancel the Program at any time but You will pay Us any costs We reasonably incurred to date (which may be the whole Fee), and this charge will be deducted from any refund that is due to You or, if no refund is due to You, invoiced to You. We will tell You what these costs are when You contact Us.
11.6 You may cancel the Program with immediate effect by giving Us written notice if We break this contract in any material way and We do not correct or fix the situation within a reasonable period of time of You asking Us to in writing or if We go into liquidation or a receiver or an administrator is appointed over Our assets.
12. Our rights to cancel and applicable refund
12.1 We may have to cancel a Program before the start date due to an Event Outside Our Control. We will promptly contact You if this happens and We will refund the Deposit to You. Similarly where We have already started working on the Program by the time We have to cancel under this clause We will not charge You anything and You will not have to make any payment to Us.
12.2 We may cancel the contract at any time after the Start Date by providing You with notice in writing. We will refund the Fee paid in such circumstances.
12.3 We may cancel the contract at any time with immediate effect by giving You written notice if You do not pay Us when You are supposed to. This does not affect Our right to charge You interest under clause 7.5 or You break the contract in any other material way and You do not correct or fix the situation within three days of Us asking You to in writing.

13.2 If You have any questions or if You have any complaints, please contact Us. You can find Our contact details in the Contact Us section of Our website at www.paveInternships.com.
13.3 If You wish to contact Us in writing, or if any clause in these Terms requires You to give Us notice in writing (for example, to cancel the contract), You can send this to Us by e-mail, by hand, or by pre-paid post to Pave Ltd at 38 Church Meadow Long Ditton Surbiton Surrey KT6 5EW. We will confirm receipt of this by contacting You in writing. If We have to contact You or give You notice in writing, We will do so by e-mail, by hand, or by pre-paid post to the address You provide to Us in the Order.
14. How we may use your personal information
14.1 We will use the personal information You provide to Us to: provide the Program; process Your payment for the Program; and inform You about similar Internships or services that We provide, but You may stop receiving these at any time by contacting Us.
14.2 You agree that We may pass Your personal information to credit reference agencies and that they may keep a record of any search that they do. We will not give Your personal data to any other third party.
15. Other important terms
15.1 We may transfer Our rights and obligations under these Terms to another organisation, and We will always notify You in writing if this happens, but this will not affect Your rights or Our obligations under these Terms.
15.2 This contract is between You and Us. No other person shall have any rights to enforce any of its terms.
15.3 Each of the paragraphs of these Terms operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect.
15.4 If We fail to insist that You perform any of Your obligations under these Terms, or if We do not enforce Our rights against You, or if We delay in doing so, that will not mean that We have waived Our rights against You and will not mean that You do not have to comply with those obligations. If We do waive a default by You, We will only do so in writing, and that will not mean that We will automatically waive any later default by You.
15.5 These Terms are governed by English law. You and We both agree to submit to the non-exclusive jurisdiction of the English courts.
SCHEDULE 1 Program Schedule
Please find set out below the range of services We can provide as part of Your Program as will be set out in the Confirmation:-
a. To arrange an unpaid Internship placement with an Internship company in India.
b. To provide You with accommodation in India. Where You are placed in a hotel or other serviced accommodation, We will only cover the room charge excluding, but not limited to, any charges for additional services such as room service, laundry and taxi services. Upon arrival a deposit may be required to be paid by You direct to Your accommodation provider. This deposit will be fully refunded by Your accommodation provider if no damage, theft or other expenses are found upon checkout. We are not responsible for any decisions made by Your accommodation provider to make deductions to Your deposit.
c. To provide travel support. Travel support comprises of an exclusive discount code redeemable when booking British Airways flight for an Internship with Us. You may only use the discount code on one transaction for the purposes of a return journey for You on an Internship with Us to India. For the avoidance of doubt, flight tickets are not inclusive in travel support or as part of the Internship package.
d. To provide visa processing. This includes the processing of Your application for a visa excluding the consular fee, which is payable by You.
e. To provide basic travel and medical insurance for You during Your Program in India.
f. To provide airport pick-up and drop-off for You to and from Your accommodation site. It is Your responsibility to arrange with Us agreed times for this service at least one week prior to Your Internship start date.
g. To provide an allowance for daily travel expenses to and from Your accommodation site and workplace. It is Your responsibility to keep within the allowance provided and You agree that no further allowance will be provided by Us. You agree to using the allowance for the purpose of commuting only.
h. To provide necessary contact details to You of relevant persons in all cities (as may be applicable) in India in the event You experience any problems or difficulties.
i. To provide Welcome drinks and the Induction workshop for You.
You agree to non-disclosure of any privileged and confidential information of Your Internship company to any person. In such cases whereby Your Internship company requests Your signature to a Non Disclosure Agreement, You consent to complying with Your written signature.
We are not accountable for too high or too low workload given by Your Internship company and it is not Our responsibility to manage Your workload. In this event, You are initially advised to contact Us in writing to explain the situation whereby We will make reasonable efforts to assess and fix issues.
International or domestic flights are not inclusive as part of any Internship or Internship package. It is Your responsibility to purchase flight tickets to travel to Your Internship city in India. We are not, and You shall not hold Us, accountable or liable for any damages or costs due to any action, negligence or event relating to the purchase or operation of flight tickets or flights. Further, We are not responsible and no compensation will be given by Us for any costs or refunds due to changes, delays or cancellations of flights with any airline provider or recommended airline provider. It is at Your discretion to use Our recommended airline provider or not and We take no responsibility or incur any costs arising from this decision.
Your transportation to and from the agreed airport in India outside the hours specified or not on the specified day of arrival will incur a charge of £100 or equivalent as applicable. If You do not notify Us of Your flight arrival and departure details at least one week prior to arrival in India, We cannot guarantee an airport pickup or drop off. If You arrive in India before the start date of Your Internship, or should You wish to stay passed the end date of Your Internship, You can request to stay in the Internship accommodation for extra nights. Any requests of this nature must be received by Us in writing at least three weeks in advance of the Internship start date. The reservation of extra accommodation is subject to availability and the payment of an additional fee.
The visa processing is not inclusive of the visa consulate or embassy fee. This fee is payable by You at the time of your visa processing or a minimum of six weeks before Your Internship start date with Us, whichever is earlier. In the event You fail to comply or provide Us with this fee, no refund will be given and a £150 administrative fee payable by You.
You must be able to provide Us with Your passport and all supporting documentation at the time of Your visa processing or a minimum of six weeks before Your Internship start date with Us, whichever is earlier. In the event You provide Us with all documentation necessary to process Your visa more than six weeks in advance of the Internship start date but Your visa application is unsuccessful, You would be entitled to a refund of the Fee, minus the Deposit and a £100 administrative fee. In the event You provide Us with all documentation necessary to process Your visa less than four weeks in advance of the Internship start date but Your visa application is unsuccessful, You would be entitled to a 50% refund of the Fee, minus the Deposit and a £100 administrative fee. In the event You provide Us with all documentation necessary to process Your visa less than two weeks in advance of the Internship start date but Your visa application is unsuccessful, no refund will be given.
If You request in writing to Us to attempt to amend an unsuccessful visa application, We will use reasonable efforts to assist with obtaining another visa with the relevant Indian authorities. We are not, and You shall not hold Us responsible or liable for any consequences arising from the issue of the incorrect Indian visa or any attempt to amend the visa or process the issue of another Indian visa. In the event We process another visa application for You that is successful or unsuccessful, You will be liable to pay for any consular or embassy fee, a £100 administrative and any additional costs including, express processing, postage, submission in person by Our staff.
We are not obligated to assist in any form with Your visa process if You have advised Us in writing that it would be difficult to obtain a visa for India. We are not, and You shall not hold Us, accountable or liable for any damages or costs relating to the loss of or damage to Your passport or any other personal property at any part of the visa process, during the Internship, during transit or during registration with the Indian authorities or any other third parties.
To comply with visa regulations of India, You must have a minimum of six months validity and two blank pages in Your passport. It is Your responsibility to review the details carefully for any spelling mistakes and or validity as marked below once the Indian Visa has been granted:
- Your Surname (Last Name) as stated in Your passport;
- Your Name (Given Name) including Middle Name, if any, as given in Your passport;
- Your passport number as in Your passport;
- Your correct photographs;
- Your Visa Type: i.e. T = Tourist, B = Business, X = Entry;
- Number of Entries: Multiple, Double, or Single;
- Date of Issue; and
- Date of Expiration.
If for any reason You are issued the wrong length or type of Indian visa for an Internship with Us, We reserve the right to refuse participation in the Internship, and if You pursue an Internship in India with any incorrect details, We are not liable for any consequences of this decision. If You decide to travel outside of Your Internship city during or after Your Internship, it is Your responsibility to ensure You are permitted to do so.
It is Your responsibility to ensure that the insurance We take out covers You appropriately for Your individual needs. If You have any known medical or allergy conditions that may require a special insurance to the standard insurance policy We provide, You must notify Us at the time We inform You that We are taking out Your insurance or at least six weeks before the start date of Your Internship, whichever is earlier. In the event You do not or give less than six weeks notice before the start date of an Internship of any known medical conditions, You will be responsible of a £100 administrative fee to Us.
If You want Us to take out a premium insurance policy for You, We must be notified by You at least six weeks in advance of the start date of an Internship. You will need to pay any excess for insurance higher than the standard given and an administrative fee to Us at least four weeks in advance of Your Internship start date.
We will reasonably make attempts to secure You standard or special insurance (upon written request). We are not, and You shall not hold Us, responsible or liable for failure to provide You with insurance if the insurance provider deems Your application unsuccessful. It is Your responsibility to ensure You have appropriate indemnity insurance before undertaking an Internship with Us.
In the event You suffer injury from any accident at any third party location including but not limited to the premises of Your accommodation site and Your Internship company, We are not, and You shall not hold Us, responsible or liable.
In the event You cause damage at any third party location including but not limited to the premises of Your accommodation site and Your Internship company, We are not, and You shall not hold Us, responsible or liable.
We are not responsible for any loss due to illness, sickness, accidents or damages You incur during Your Internship. It is Your responsibility to ensure You are covered with personal indemnity insurance for Your own well-being during Your Internship in India.
You agree to act with good behaviour at all times during Your Internship in India. Any misconduct on Your part will render You solely responsible for consequences thereafter.
You agree to abide by the rules and regulations set out by Your accommodation provider and Your Internship company. You are responsible for any rules and regulations that You break as a result.
